1.Eligibility & Certification

The BottleTrace Exchange is a private platform restricted to verified alcohol industry professionals.

By registering for or accessing the Exchange, you certify that:

• You are an active professional in the alcohol trade (including but not limited to buyers, distributors, suppliers, importers, brand representatives, or related roles).
• All information you provide during registration is accurate and truthful.
• You are accessing the Exchange for professional purposes only.

We reserve the right to deny, suspend or revoke access at any time if eligibility requirements are not met.

2.Account Verification & Access

Access to the Exchange is granted at our discretion and may require additional verification. Verification does not guarantee permanent access.

We may:

• Review, approve, or reject applications
• Request additional information
• Suspend or terminate accounts that violate these Terms

Accounts are non-transferable.

3.Acceptable Use

You agree to use the BottleTrace Exchange in a professional, lawful, and respectful manner, consistent with its purpose as a private industry intelligence platform.

You may not:

• Misrepresent your identity, role, employer or industry affiliation
• Submit information you know to be false, misleading or intentionally deceptive
• Use abusive, harassing, threatening, discriminatory or inflammatory language
• Post content that is defamatory, obscene or otherwise inappropriate for a professional setting
• Target or disparage individuals or organizations in a personal, malicious or retaliatory manner
• Attempt to intimidate, coerce or pressure other members
• Use the Exchange for advertising, solicitation, lead generation or promotion without prior approval
• Scrape, copy, redistribute or externally publish Exchange content without authorization
• Use the platform for buying, selling, brokering or facilitating commercial transactions involving alcohol

The Exchange is not a public forum or social network. Content is expected to reflect professional experience, industry context and good-faith participation.

Coa Data, LLC reserves the right to moderate, remove, annotate or restrict content or accounts that violate these standards, at our sole discretion, in order to preserve the integrity, safety and usefulness of the Exchange and its members.

4.Content & Contributions

Members may contribute information, commentary or insight ("User Content") as part of the Exchange.

By submitting content, you acknowledge that:

• Coa Data, LLC does not guarantee accuracy or completeness of user-submitted content
• You grant Coa Data, LLC a non-exclusive right to display, organize, moderate and reference your contributions within the platform

We reserve the right to edit, remove, annotate or moderate content at our discretion.

5.Confidentiality, Privacy & Discretion

BottleTrace Exchange is designed to support professional, good-faith participation while minimizing unnecessary exposure of individual identity.

We take reasonable and appropriate measures to protect user privacy, including:

• Limiting the public display of personally identifying information
• Verifying member eligibility without requiring public disclosure of employer details where possible
• Using role-based visibility to reduce professional risk, particularly for buyers
• Restricting access to verified members only

While all members are verified, public-facing identity within the Exchange may be intentionally limited to preserve discretion and encourage candid, professional participation.

Members are expected to exercise judgment and discretion when contributing content. Do not assume that participation is anonymous or confidential in a legal sense.

Although Coa Data, LLC will make every reasonable effort to safeguard user identity and platform integrity, we cannot guarantee complete anonymity or confidentiality, particularly in cases involving misuse, legal obligations or violations of these Terms.

Coa Data, LLC reserves the right to disclose account information when required by law, to enforce these Terms or to protect the rights, safety and integrity of the Exchange and its members.

6.No Professional Advice

Information provided through the Exchange is for general informational purposes only.

The Exchange does not provide:

• Legal advice
• Regulatory advice
• Compliance determinations
• Commercial or purchasing recommendations

You remain solely responsible for decisions made based on information obtained through the Exchange.

7.Intellectual Property

All platform content, design, branding and proprietary materials are owned by Coa Data, LLC or its licensors and may not be reproduced without permission.

User-generated content remains the property of its author, subject to the rights granted herein.

8.Termination

We may suspend or terminate your access at any time, with or without notice, for violation of these Terms or for any reason deemed necessary to protect the integrity of the Exchange.

Upon termination, all access rights immediately cease.

9.Limitation of Liability

To the maximum extent permitted by law, Coa Data, LLC shall not be liable for:

• Errors or omissions in content
• Decisions made based on Exchange information
• Losses arising from reliance on user-submitted content
• Service interruptions or data loss

Use of the Exchange is at your own risk.

10.Changes to These Terms

We may update these Terms from time to time. Continued use of the Exchange after changes constitutes acceptance of the updated Terms.

11.Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
